Terms of Service

These terms govern your access to and use of firmtalk.ai and the Firmtalk platform. By using the site or service, you agree to these terms.

Agreement

These Terms of Service (“Terms”) form a binding agreement between you and Firmtalk Data Insights (“Firmtalk,” “we,” “our,” or “us”). If you are using the service on behalf of a firm or other organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree with any part of these Terms, please don’t use our website or services.

Eligibility

Firmtalk is a business-to-business service. You must be at least 18 years old and able to enter into a legally binding agreement to use it. Access is intended for law firms, legal departments, and authorised partners.

Accounts

When you create an account, you agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your credentials and for any activity under your account. Notify us immediately at hello@firmtalk.ai if you suspect unauthorised use.

Acceptable use

You agree not to:

  • Use the service in a way that violates applicable law or the rights of others.
  • Attempt to access accounts, systems, or data you are not authorised to access.
  • Reverse-engineer, decompile, or otherwise try to derive source code from the service.
  • Use the service to transmit malware, unlawful content, or unsolicited commercial messages.
  • Resell, rent, or sublicense the service without our prior written consent.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to other users or the service.

Your content

You retain all rights in the data and content you upload to Firmtalk (“Customer Data”). You grant us a limited licence to host, process, and display Customer Data solely as needed to deliver the service to you.

You are responsible for ensuring you have the rights required to upload Customer Data and that your use complies with all applicable laws and professional obligations, including legal privilege and confidentiality rules.

Our intellectual property

The Firmtalk platform, the website, and all associated materials, including software, design, text, graphics, and logos, are owned by Firmtalk or its licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, all rights are reserved.

Fees and subscriptions

Paid plans are billed in advance at the intervals disclosed at the time of purchase. Fees are non-refundable except where required by law or expressly stated in a separate agreement. You are responsible for any applicable taxes.

We may change prices or introduce new charges by giving reasonable prior notice. If you do not accept the change, you may cancel your subscription before it takes effect.

Service availability

We work hard to keep the service available and reliable, but we do not guarantee uninterrupted operation. We may perform scheduled maintenance and update the service from time to time, and will use reasonable efforts to minimise disruption.

Termination

You may stop using the service at any time. We may suspend or terminate your access if you materially breach these Terms, if your use creates legal or security risk to us or other users, or if we discontinue the service.

On termination, your right to access the service ends. We will make Customer Data available for export for a reasonable period, after which it may be deleted in accordance with our retention practices.

Disclaimers

The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Firmtalk is not legal advice and is not a substitute for the professional judgement of a lawyer.

Limitation of liability

To the maximum extent permitted by law, Firmtalk’s aggregate liability arising out of or in connection with these Terms or the service will not exceed the amount you paid us for the service in the twelve months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

Indemnity

You agree to indemnify and hold Firmtalk harmless from any claim, loss, or expense arising from your Customer Data, your use of the service in breach of these Terms, or your violation of any law or third-party right.

Governing law

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. The courts of Mumbai, India have exclusive jurisdiction over any dispute arising from or relating to these Terms, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

Changes

We may update these Terms from time to time. When we do, we’ll revise the “last updated” date and, for material changes, notify you in advance. Continued use of the service after changes take effect means you accept the updated Terms.
